K9 Sunset And DAO Transition Notice And Agreement

You are hereby notified that the project known as K9 is undergoing a formal sun-down and transition process. Following a governance process conducted by the decentralized autonomous organization associated with K9, it has been elected that K9, in its current form, structure, and operational model, will cease. The existing foundation-based model supporting K9 will be discontinued, and the decentralized autonomous organization may continue, if at all, solely as an independent and unaffiliated DAO.

From the effective date of this notice, the foundation previously associated with K9, together with any of its current or former members, directors, officers, trustees, contributors, developers, advisors, planners, organizers, delegates, signatories, service providers, agents, contractors, or affiliates, shall have no continuing role, responsibility, authority, control, involvement, or obligation in relation to the DAO, any DAO-controlled assets, or any future iteration, continuation, fork, revival, or successor initiative using the K9 name, branding, codebase, or community.

By accessing, interacting with, using, holding, voting, governing, contributing to, or otherwise participating in K9, any DAO activities, or any associated interfaces, smart contracts, repositories, documentation, tokens, governance mechanisms, or communication channels after publication of this notice, you acknowledge that you have received this notification and expressly agree that the foundation and the DAO are separate, distinct, and unaffiliated. You further acknowledge that any act, omission, statement, governance decision, technical deployment, or representation made by the DAO is not undertaken on behalf of, sponsored by, endorsed by, controlled by, or attributable to the foundation.

You expressly understand and agree that the foundation makes no representations, warranties, assurances, or guarantees of any kind, whether express, implied, statutory, or otherwise, with respect to K9, the DAO, or any DAO-related activity. Without limitation, the foundation disclaims any warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, security, continuity, legality, regulatory compliance, or economic outcome. The foundation does not audit, supervise, control, operate, secure, upgrade, maintain, validate, or monitor any DAO activity, smart contract, governance process, or participant conduct.

To the fullest extent permitted by applicable law, you irrevocably and unconditionally waive, release, and discharge the foundation and all foundation-related parties from any and all claims, demands, causes of action, liabilities, losses, damages, penalties, costs, or expenses of any nature whatsoever, whether known or unknown, foreseen or unforeseen, suspected or unsuspected, arising out of or relating in any way to K9, the sun-down of the project, the DAO transition, the DAO’s continued existence or activities, any use or holding of tokens, any governance participation, any reliance on DAO communications, or any interaction with DAO-controlled technology or assets.

You acknowledge and agree that participation in decentralized systems and blockchain-based projects involves substantial and inherent risk, including but not limited to software vulnerabilities, smart contract exploits, governance failure, malicious or negligent participant conduct, loss of private keys, protocol failure, economic loss, total loss of value, regulatory enforcement actions, and adverse legal consequences. You voluntarily assume all such risks and agree that you do so without reliance on the foundation or any foundation-related party.

You expressly acknowledge that nothing in connection with K9, whether past or present, constitutes an offer, solicitation, or sale of securities, investment contracts, or financial instruments, nor any promise of profit, yield, appreciation, or economic return. You agree that you have not relied on the foundation in making any decision to acquire, hold, use, or interact with any token or DAO-related mechanism.

You agree that any dispute, claim, or controversy arising out of or relating to this notice, the K9 project, the sun-down process, or the separation between the foundation and the DAO shall be governed exclusively by the laws of the Republic of Panama, without regard to conflict of laws principles. You irrevocably submit to the exclusive jurisdiction of the competent courts of Panama City, Republic of Panama, and waive any objection based on forum non conveniens or similar doctrines.

You agree that any claims must be brought solely on an individual basis and not as a plaintiff or class member in any purported class, collective, representative, or consolidated action. You expressly waive any right to participate in or seek relief through a class action, private attorney general action, or representative proceeding against the foundation or any foundation-related party.

This notice is provided electronically and constitutes a material disclosure regarding the termination of K9 in its prior form. If you do not agree to these terms, you must immediately discontinue all access, interaction, and participation. Your continued use, continued participation, governance activity, token holding, or failure to object in writing within a reasonable period following publication of this notice shall constitute your affirmative acceptance of these terms and your agreement to be legally bound by them.

The foundation reserves the right to fully conclude its affairs in connection with K9 and to take any steps necessary to effectuate the sun-down and separation described herein without further notice.

These terms, including all waivers, releases, disclaimers, risk acknowledgements, jurisdictional agreements, and limitations of liability set out herein, shall survive the sun-down of the K9 project, the discontinuation or dissolution of the foundation, and any cessation of operations, to the fullest extent permitted by applicable law.

Nothing in these terms shall be construed as creating, and you expressly disclaim the existence of, any partnership, joint venture, agency, fiduciary relationship, employment relationship, or representative capacity between you and the foundation, between you and any DAO participant, or between the foundation and the DAO. No DAO participant, token holder, contributor, or governance participant has authority to bind, represent, or act on behalf of the foundation under any circumstances, whether actual, apparent, or implied.

To the maximum extent permitted by applicable law, in no event shall the aggregate liability of the foundation or any foundation-related party, whether in contract, tort, statute, equity, or otherwise, exceed the lesser of one United States dollar or the total amount, if any, directly paid by you to the foundation in connection with K9. In no event shall the foundation or any foundation-related party be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including loss of profits, loss of data, loss of reputation, or loss of opportunity, even if advised of the possibility of such damages.

If any provision of these terms is held to be unlawful, invalid, or unenforceable under applicable law, such provision shall be severed and deemed modified to the minimum extent necessary to render it enforceable, and the remaining provisions shall continue in full force and effect.

The foundation reserves the right to modify, update, restate, or replace this notice and these terms at any time by electronic publication. Any such modification shall become effective upon publication, and your continued access, participation, or interaction following such publication shall constitute acceptance of the revised terms.

These terms are issued in the English language, which shall be the controlling language for all purposes of interpretation. Any translation is provided for convenience only and shall have no legal effect. The intent of these terms shall be interpreted broadly to give maximum effect to the waivers, disclaimers, and liability protections in favor of the foundation and foundation-related parties.

Any claim, cause of action, or proceeding of any kind arising out of or relating to K9, the project sun-down, the DAO transition, the foundation, or these terms must be brought within a maximum period of twelve months from the date on which the claim first arose or could reasonably have arisen. Any claim not brought within this period is permanently barred, to the fullest extent permitted by applicable law.

You expressly acknowledge and agree that you have not relied, and are not relying, on any statement, representation, roadmap, projection, promise, whitepaper, token description, marketing material, social media post, community communication, governance discussion, or other information, whether written or oral, past or present, attributable to the foundation or any foundation-related party. These terms constitute the entire understanding between you and the foundation concerning the subject matter hereof and supersede any prior or contemporaneous statements, understandings, or communications, whether express or implied.

You acknowledge and agree that the foundation has no obligation, duty, or responsibility to provide updates, corrections, warnings, notifications, disclosures, explanations, or ongoing information regarding the DAO, its activities, its governance, its assets, or its risks. Any silence, inaction, or failure to communicate by the foundation shall not give rise to any duty, liability, or inference of responsibility.

You acknowledge and agree that you have conducted, or had the opportunity to conduct, your own independent legal, regulatory, tax, financial, technical, and commercial analysis relating to K9, the DAO, and any related activity. You agree that you are solely responsible for evaluating the merits and risks of participation and that you have not relied on the foundation or any foundation-related party for advice, guidance, or due diligence of any kind.

You acknowledge and agree that the foundation does not maintain, control, or preserve records, logs, audit trails, voting histories, transaction data, communications, or evidentiary materials on behalf of the DAO or its participants, and has no obligation to retain, produce, reconstruct, or provide any such materials. You waive any claim or demand based on the absence, loss, destruction, or unavailability of such records.

The foundation shall not be liable for any failure, delay, interruption, or inability to perform any act or obligation, or to complete or support any transition, arising from events beyond its reasonable control, including but not limited to regulatory actions, changes in law, technological failure, blockchain disruption, third-party service failure, loss of access credentials, cyber incidents, natural events, force majeure events, or acts or omissions of DAO participants.

The foundation may assign, transfer, or delegate any remaining rights, obligations, or interests associated with the wind-down of K9 to any successor, liquidator, trustee, or third party as part of its cessation or restructuring, without notice to you. Any such assignment shall not expand liability or revive any obligation otherwise disclaimed or waived herein.

Any dispute, claim, or controversy of any kind arising out of or relating to K9, the project sun-down, the DAO transition, the foundation, or these terms shall be resolved solely and exclusively on an individual basis. You expressly waive any right to bring, participate in, or seek relief through any class action, collective action, group action, representative action, consolidated proceeding, or private attorney general action, whether in court, arbitration, or any other forum. No arbitrator or tribunal shall have authority to hear or decide any claim on a class, collective, representative, or aggregated basis.

Any claim or cause of action must be initiated within twelve months from the date on which the claim first arose or could reasonably have arisen, regardless of any longer statutory limitation period that might otherwise apply. Any claim not brought within this period is irrevocably time-barred to the fullest extent permitted by applicable law.

As a condition precedent to bringing any claim, you must first provide written notice of the dispute to the foundation describing the nature of the claim and the relief sought with reasonable specificity. Such notice must be delivered electronically or by recognized courier to the last publicly designated contact of the foundation. The parties shall attempt in good faith to resolve the dispute during a mandatory thirty-day notice and cure period following receipt of such notice. Failure to comply with this dispute notice requirement shall permanently bar the claim.

If the dispute is not resolved during the notice and cure period, the dispute shall be finally and exclusively resolved by confidential, binding arbitration seated in Panama City, Republic of Panama, conducted in the English language by a single arbitrator. The arbitration shall be administered under internationally recognized arbitration rules selected by the foundation, and judgment on the arbitral award may be entered in any court of competent jurisdiction. You irrevocably waive any objection to the arbitral forum, seat, or enforcement of the award.

You agree that arbitration shall be the exclusive means of resolving any dispute and that you waive any right to seek relief in court, including the right to a jury trial. You further waive any right to seek injunctive, declaratory, or equitable relief, except to the limited extent necessary to enforce the arbitration agreement itself. The arbitrator shall have no authority to award punitive damages or any relief inconsistent with the waivers, disclaimers, or limitations of liability set out in these terms.

This arbitration agreement, the class action waiver, the dispute notice requirement, and the contractual limitation period shall survive the sun-down of K9, the dissolution or cessation of the foundation, and any termination of these terms for any reason.
